These Terms of Use govern your access to and use of the services, platform, and content provided by Cydysae ("we", "us", or "our") via cydysae.com and any associated subdomains or applications. By accessing or using our platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.
1. Definitions
The following definitions apply throughout these Terms:
- Platform refers to the website, web application, and all digital services operated by Cydysae.
- User refers to any individual who accesses, browses, registers on, or otherwise interacts with the Platform.
- Account refers to a registered profile created by a User to access personalised features of the Platform.

- Services refers to all educational offerings, seminar access, interactive tools, and related features provided by Cydysae.
2. Eligibility
By using the Platform, you represent and warrant that:
- You are at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is higher.
- You have the legal capacity to enter into a binding agreement.
- Your use of the Platform does not violate any applicable laws or regulations in your country of residence.
- You are not subject to any sanctions or restrictions that would prohibit you from using online educational services.
If you are using the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
3. Account Registration and Security
3.1 Creating an Account
Certain features of the Platform require registration. When creating an Account, you agree to provide accurate, complete, and current information. You must keep your registration details up to date at all times.
3.2 Account Credentials
You are solely responsible for maintaining the confidentiality of your login credentials. You must not share your credentials with any third party. Any activity conducted through your Account is your responsibility, whether or not authorised by you.
3.3 Unauthorised Access
You must notify us immediately at info@cydysae.com if you become aware of any unauthorised use of your Account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your credentials.
3.4 Account Termination by User
You may close your Account at any time by contacting us. Closure does not entitle you to any refund unless otherwise stated in our Refund Policy.
4. Permitted Use
You may use the Platform solely for lawful, personal, non-commercial educational purposes, unless you have entered into a separate written agreement with us permitting commercial use.
You agree to use the Platform in a manner that:
- Complies with all applicable laws and regulations.
- Respects the rights of other Users and third parties.
- Does not disrupt or interfere with the operation of the Platform.
- Does not misrepresent your identity or affiliation.
5. Prohibited Conduct
You must not engage in any of the following activities:

We reserve the right to suspend or terminate access for any User found to be in breach of this section.
6. Intellectual Property
6.1 Our Content
All Content on the Platform, including but not limited to seminar materials, recorded sessions, written resources, graphics, logos, and software, is the exclusive property of Cydysae or its licensed content providers. All rights are reserved.
6.2 Limited Licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Content solely for your personal educational purposes during the term of your active subscription or enrolment. This licence does not include any right to reproduce, modify, distribute, or create derivative works from the Content.
6.3 User Submissions
If you submit, post, or share any content on the Platform (including forum posts, discussion contributions, or feedback), you grant us a worldwide, royalty-free, perpetual licence to use, store, display, and reproduce such content for the purposes of operating and improving the Platform. You retain ownership of your submissions, but you warrant that they do not infringe any third-party rights.
6.4 Trademarks
The name "Cydysae", our logo, and all associated marks are trademarks of Cydysae. You may not use them without our prior written permission.
7. Payments and Subscriptions
7.1 Fees
Access to certain Services may require payment. All applicable fees are displayed prior to purchase. Prices are shown inclusive or exclusive of applicable taxes as indicated at checkout.
7.2 Billing
Where subscription-based access is offered, fees are billed in advance on a recurring basis. You authorise us to charge your selected payment method at the applicable intervals until you cancel.
7.3 Refunds
Refund eligibility is governed by our separate Refund Policy. Unless otherwise stated, fees paid are non-refundable once access to a seminar or programme has been granted.
7.4 Price Changes
We reserve the right to modify pricing at any time. Where changes affect an active subscription, we will provide reasonable notice before the new pricing takes effect.
8. Third-Party Services and Links
The Platform may contain links to or integrations with third-party websites, tools, or services. These are provided for convenience only. We do not endorse, control, or accept responsibility for the content, privacy practices, or availability of any third-party service. Your use of third-party services is subject to their own terms and policies.
9. Disclaimers
The Platform and all Content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:
- Fitness for a particular purpose.
- Accuracy, completeness, or timeliness of Content.
- Uninterrupted or error-free access to the Platform.
- The achievement of any specific educational or professional outcome.
Educational content provided through the Platform is intended for informational and learning purposes only and does not constitute professional financial, legal, or advisory advice.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Cydysae, its directors, employees, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform or its Content, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total amount paid by you to Cydysae in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Cydysae and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Platform or Services.
- Your violation of these Terms.
- Your infringement of any third-party rights.
- Any content you submit or share on the Platform.
12. Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy. We encourage you to review it carefully.
13. Modifications to the Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify registered Users by email or via an in-platform notification.
Your continued use of the Platform following the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.
14. Suspension and Termination
14.1 Termination by Us
We reserve the right to suspend or permanently terminate your access to the Platform at our sole discretion, without prior notice, if we reasonably believe that you have violated these Terms or engaged in conduct that is harmful to other Users, third parties, or the Platform.
14.2 Effect of Termination
Upon termination of your Account, your right to access the Platform and any associated Content ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to sections on intellectual property, disclaimers, limitation of liability, and indemnification.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws applicable to the jurisdiction in which Cydysae operates. Any disputes arising in connection with these Terms shall first be subject to good-faith negotiation between the parties. If a resolution cannot be reached, disputes shall be submitted to the competent courts of the relevant jurisdiction.
Nothing in this section limits your statutory rights as a consumer under applicable law.
16. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Cydysae with respect to your use of the Platform and supersede all prior agreements, representations, and understandings of any kind.
